The court noted that the assurance was given at the annual general meeting (AGM) of Oberoi Hotels Private Limited and Oberoi Properties Private Limited held on November 5.
The assurance was provided by Anastasia’s brother Vikramjit Oberoi on behalf of himself and their cousin Arjun Oberoi in an ongoing inheritance dispute (Contributed by Arjun Oberoi).
Anastasia Oberoi moved the Delhi High Court claiming that her step-siblings and cousins were preventing the proper execution of her father’s will. PRS Oberoi died 10 months ago, leaving behind a controversial will that triggered legal disputes over the management and ownership of the Oberoi group’s assets.
However, Vikramjit Oberoi, Managing Director and Chief Executive Officer of EIH Ltd., the flagship company of the Oberoi Group, and Arjun Oberoi, Executive Chairman of EIH, questioned Anastasia’s claims. They believed that the will and codicils did not represent the original intention of MS Oberoi, the founder of the organization and the father of PRS Oberoi.
On Tuesday, the court heard Anastasia’s plea that Rajaraman Shankar, a senior executive of the Oberoi Hotel and one of its executors, should not be allowed to attend or be counted in the quorum of meetings related to the re-appointment of directors. .
The court heard that the annual general meeting will be held on Tuesday and Anastasia Oberoi will be reappointed as a director of the company. The high court recorded the observation and noted that the consent of the parties was limited to the annual general meeting on November 5.
Anastasia is allowed to participate in the annual general meeting for the specific purpose and to vote on the reappointment of all directors.
On September 12, the High Court ruled that Shankar could only exercise his voting rights for the purpose of complying with statutory provisions and filing statutory reports. Anastasia’s current application alleges breaches of that order.
